Naftiko Closes Pre-Seed Round Led by Serena, Bringing Total Capital Raised to $2.8M

Naftiko has closed its pre-seed round, anchored by lead investor Serena and rounded out by a combination of European institutional capital, a U.S. accelerator vehicle, and a slate of enterprise-software operator angels. Together with Bpifrance R&D loan financing now in transit, the round brings Naftiko’s total capital raised to $2.8M, with an additional BNP loan in active diligence that would take the total to $3M. The third and final tranche of the round signed on May 18, 2026, with funds now transferring.

Why This Round, Why Now

Enterprises are entering the AI era carrying an average of 1,295 SaaS applications and more than 14,000 internal APIs — a surface area that has only grown with the 2025–2026 wave of MCPs, copilots, and agents. The result is escalating duplication, ungoverned security exposure, and AI pilots that don’t survive contact with production. Naftiko’s bet is that the unit of abstraction over that sprawl is the capability — declared once in a spec, executed deterministically, governed by policy, and consumed by both humans and machines. This round funds the build-out of the open-source Naftiko Fleet that delivers on that bet, the Naftiko Signals intelligence layer that reads the enterprise stack from the outside in, and the design-partner motion that lands both inside large enterprises.

A Lead Investor With a European Enterprise Thesis

Serena leads the round. Headquartered in Paris and one of Europe’s most active enterprise-software investors, Serena’s portfolio and posture align directly with Naftiko’s thesis: a European-built, open-source-first platform purpose-built for the governance problems that follow AI adoption inside large enterprises. Serena’s commitment is the largest single check in the round and the anchor that allowed the rest of the syndicate to close.

Institutional and Strategic Investors

Two additional institutional vehicles joined the round alongside Serena, each bringing a distinct geographic and operator-network reach:

  • Afrimobilityafrimobility.com. The corporate investment arm of Akwa Group, one of North Africa’s largest industrial groups. Afrimobility brings an operator-led perspective on integration and digital infrastructure across markets where API and AI maturity is still being built from the ground up — exactly the kind of greenfield governance environment Naftiko’s spec-driven approach is designed for.
  • Inovexusinovexus.com. A founder-led SPV mobilized around the enterprise-software community, with operator-investors who have built and scaled platforms inside large global organizations. Inovexus brings the cross-border GTM network — particularly across Europe and the U.S. enterprise corridor — that Naftiko’s design-partner motion runs through.

Angel Investors From the Enterprise Software Operator Network

The round also includes a tight slate of operator-angels with deep enterprise software credentials. Their commitments are smaller individually than the institutional checks, but their collective signal — and the doors they have already opened inside large enterprises — is structurally important to Naftiko’s GTM:

  • Paul Melchiorre — Veteran enterprise SaaS go-to-market operator (ex-Anaplan, Ariba) and one of the most credentialed voices on enterprise software sales in the U.S. market. Paul is also helping shape Naftiko’s design-partner funnel and seed-funding strategy through an upcoming June workshop with the founding team.
  • Pawan Deshpande — Founder and operator with a track record in enterprise content and knowledge platforms (Curata), bringing pattern recognition on category creation inside large enterprises.
  • Vincent Mace — Operator with deep enterprise relationships across the U.S. and France, sitting at the intersection of Naftiko’s two home markets.
  • Andreas Gall — Long-time European media and technology operator, with leadership tenure across broadcast and digital platforms in the German-speaking enterprise market.
  • David Fischer — Veteran enterprise marketing leader (ex-Facebook), bringing a buyer-side perspective on the modern enterprise marketing stack and how AI-era capabilities are evaluated and adopted.

French Public-Innovation Ecosystem Support

Alongside the equity round, Naftiko has secured material support from the French public-innovation apparatus that operates around early-stage deep-tech companies headquartered in Paris:

  • Bpifrance R&D loan — Naftiko’s Bpifrance R&D financing has been signed, with funds now in transit. The Bpifrance loan is a non-dilutive complement to the equity round, scoped to fund continued open-source engineering on the Fleet.
  • BNP loan (in diligence) — A complementary loan facility with BNP is in active review. If approved, it lifts Naftiko’s total capital raised to $3M.
  • JEI Fiscal Rescrit — Naftiko’s Jeune Entreprise Innovante fiscal-status submission is in its dedicated partner’s hands, locking in France’s R&D tax-credit posture for the year.
  • “Key Mens” insurance (BNP + CARDIF) — Key-person insurance quotes from BNP and CARDIF are advancing toward a recommended carrier this quarter.
  • BSPCE / BSA allocations — The post-close allocation of French employee equity instruments is running on its own track in parallel.

What the Round Funds

Capital from this round, paired with the Bpifrance loan and the pending BNP facility, is allocated against three priorities through the Beta 1 release at the end of June and General Availability in September 2026:

  1. Shipping the open-source Fleet — Naftiko Shipyard, Ikanos, Polychro, Crafter, Warden, and Skipper. All six components are currently at v1.0.0-alpha3, with Alpha 4 landing in mid-June and Beta 1 at the end of June. The open-source commitment — Ikanos and Polychro fully Apache 2.0 in every edition of the Fleet — is funded by this round.
  2. Building out the Paris and U.S. teams. The Paris team is the engineering and product center of gravity around the Naftiko Fleet. The U.S. operating presence anchors the enterprise design-partner motion already in flight with companies including JP Morgan Chase, Bank of America, Ford, and Vanguard, and with the 60+ APIDays NYC prospect cohort entering the funnel.
  3. Scaling Naftiko Signals. With Fortune 1000 coverage now substantially complete and the corpus crossing 884 new company signals pages this past week alone, the round funds the continued build-out of the open-intelligence layer — including the role-aware “What’s Next” capabilities, the Naftiko Radar, and the market-data-partner packaging direction surfaced by recent investor and partner feedback.

Geography and Operating Posture

Naftiko operates from Paris and New York City, with the Paris team holding the engineering and product center of gravity and the U.S. presence anchoring the enterprise GTM motion. The investor mix in this round mirrors that posture deliberately: a European lead, European institutional capital, a U.S.-anchored operator-angel slate, and French public-innovation financing.

  • Alpha 4 (mid-June 2026) — MCP trust propagation, API-gateway integration, and the first A2A server adapter.
  • Beta 1 (end of June 2026) — Stable MVP across the Fleet, with interactive MCP Apps, server-side code-mode, and authorization via Open Policy Agent.
